Withdrawal of Subscription Offer

Due to the highly depressed environment in the AI sector on international stock markets in recent days, the initial results of contacts made with potential investors regarding the capital increase of Samba Digital, SGPS, S.A. (Samba) have not yielded the desired outcome.

The 20% drop in the stock price of the leading AI operator on Monday, January 27, negatively impacted the proposed offer price of €8 per share for Samba and raised concerns about valuations in the AI sector, in which the company operates.

In light of this scenario, the company’s management has decided on February 7, 2025, to cancel the capital increase from €23,300,000.00 (twenty-three million three hundred thousand euros) to €24,465,000.00 (twenty-four million four hundred sixty-five thousand euros), withdrawing the public subscription offer. This offer had been publicly disclosed since January 24, 2025, through media outlets and the CMVM Information Disclosure System. The company will await a more favorable market environment before relaunching the offer.

We also inform that, to date, no subscription requests have been received, meaning this decision has no impact on any potential investor.
